Clear from the beginning.

These terms govern use of the website and initial service requests. When a project begins, the project-specific quotation or contract controls wherever it conflicts with these general terms.

Website requests are not automatic contracts

Submitting a form or offer request does not create a final obligation for NOVERGE or the client. A binding engagement begins when scope, price, timeline, and payment terms are accepted in writing or electronically.

Scope and changes

Work is limited to the approved quotation or statement of work. Features, integrations, or changes outside that scope may require additional estimation, schedule, and fees before implementation.

Pricing and payment

Prices, payment milestones, and due dates are defined in the quotation or invoice. Additional work is not included unless stated. Third-party services, licenses, stores, messaging, and payment-provider fees are excluded unless the quotation explicitly includes them.

Client responsibilities

The client is responsible for providing required information, assets, approvals, and lawful access on time, and for the accuracy and usage rights of materials they provide. Delays may affect the project schedule.

Intellectual property

Ownership and deliverables are defined in the project quotation or contract. Unless otherwise agreed, each party retains ownership of its pre-existing tools, libraries, components, and know-how, and rights in final deliverables transfer only according to the approved agreement and payment terms.

Acceptance and testing

Clients receive a reasonable opportunity to review deliverables and report defects relating to the approved scope. New requests or preference changes after approval are not automatically treated as defects.

Third-party services

Projects may depend on third-party services such as app stores, cloud providers, payment gateways, messaging, maps, or APIs. Their availability, policies, and pricing are outside NOVERGE’s control and changes may affect the product.

Cancellation and suspension

Cancellation consequences are defined in the quotation or contract, including completed work and non-refundable costs. Work may be suspended for overdue payments or unavailable critical client inputs after notice.

Limitation of liability

To the extent permitted by applicable law, NOVERGE is not responsible for indirect or consequential loss arising from services, decisions, data, or systems outside its control. Project-specific liability limits are defined in the approved contract or quotation.

Law and jurisdiction

The relationship is governed by the applicable laws of the Kingdom of Saudi Arabia unless a written agreement provides another legally permitted arrangement.

Updates

We may update these terms as the service or legal requirements evolve. The version published when the website is used applies to general use, while accepted contracts and quotations remain governed by their project-specific terms.
